<strong>&lt;&lt;Company Registration Number&gt;&gt;<\/strong>, whose registered office is at <strong>&lt;&lt;Insert Address&gt;&gt;<\/strong>, or an individual with a primary address at <strong>&lt;&lt;Insert Address&gt;&gt;<\/strong>, hereinafter referred to as the &#8220;Landlord&#8221;.<\/p><ol><li><h4><strong> Background<\/strong><\/h4><\/li><\/ol><p><span class=\"blur\"><br \/>1.1 The Service Provider is engaged in the business of providing <strong>&lt;&lt;insert nature of services&gt;&gt;<\/strong> services to property owners and occupiers. The Service Provider has the necessary expertise, experience, and professional skills in this field.<\/span><\/p><p>1.2 The Landlord wishes to appoint the Service Provider to perform the specified services as set out in this Agreement, and the Service Provider agrees to provide such services in accordance with the terms and conditions contained herein.<\/p><p>1.3 This Agreement sets out the terms and conditions under which the Service Provider shall provide services to the Landlord in respect of the properties listed in <strong>Schedule 1<\/strong>.<\/p><ol start=\"2\"><li><h4><strong> Definitions and Interpretation<\/strong><\/h4><\/li><\/ol><p>2.1 In this Agreement, the following terms shall have the meanings set out below:<\/p><ul><li><strong>&#8220;Additional Fees&#8221;<\/strong> refers to any additional charges imposed by the Service Provider for extra services requested by the Landlord, as communicated from time to time.<\/li><li><strong>&#8220;Basic Fees&#8221;<\/strong> refers to the agreed service fee per Property as set out in <strong>Schedule 1<\/strong>, or otherwise mutually agreed between the Parties.<\/li><li><strong>&#8220;Business Day&#8221;<\/strong> refers to any day, other than Saturday or Sunday, when banks in <strong>&lt;&lt;insert location&gt;&gt;<\/strong> are open for normal business operations.<\/li><li><strong>&#8220;Commencement Date&#8221;<\/strong> refers to the date on which the Service Provider begins to provide the Services, as specified in Clause 10.1.<\/li><li><strong>&#8220;Confidential Information&#8221;<\/strong> refers to all proprietary, non-public, or otherwise confidential data disclosed by one Party to the other in connection with this Agreement.<\/li><li><strong>&#8220;Fees&#8221;<\/strong> refers to the total fees payable by the Landlord, which includes both Basic Fees and Additional Fees.<\/li><li><strong>&#8220;Properties&#8221;<\/strong> refers to the real estate owned by the Landlord and listed in <strong>Schedule 1<\/strong>, as updated in accordance with Clause 2.7.<\/li><li><strong>&#8220;Services&#8221;<\/strong> refers to the services provided by the Service Provider as set out in <strong>Schedule 1<\/strong>, which may be varied in accordance with Clause 2.6.<\/li><li><strong>&#8220;Term&#8221;<\/strong> refers to the duration of this Agreement, as defined in Clause 10.<\/li><\/ul><p>2.2 In this Agreement:<\/p><ul><li>References to &#8220;writing&#8221; include electronic communications unless otherwise specified.<\/li><li>References to legislation include amendments, replacements, or reenactments of such legislation.<\/li><li>Clause headings are for convenience only and do not affect interpretation.<\/li><li>Words in the singular include the plural, and vice versa.<\/li><li>References to any gender include all genders.<\/li><li>References to persons include individuals, corporations, and other legal entities.<\/li><\/ul><ol start=\"3\"><li><h4><strong> Provision of Services<\/strong><\/h4><\/li><\/ol><p>3.1 The Service Provider shall commence the provision of services from the <strong>Commencement Date<\/strong> and shall continue to provide the agreed services in accordance with this Agreement.<\/p><p>3.2 The Service Provider shall exercise reasonable skill and care in the performance of its duties, ensuring compliance with prevailing industry standards in <strong>&lt;&lt;insert sector\/industry relevant to Services&gt;&gt;<\/strong> in the United Kingdom.<\/p><p>3.3 The Service Provider shall follow all reasonable instructions given by the Landlord, provided such instructions do not conflict with the agreed scope of services as specified in <strong>Schedule 1<\/strong>.<\/p><p>3.4 The Service Provider shall comply with all applicable laws, regulations, codes of conduct, and industry standards while delivering the services under this Agreement.<\/p><p>3.5 Where products are required for service provision, the Service Provider shall obtain the Landlord\u2019s prior written consent for any purchases exceeding <strong>\u00a3&lt;&lt;insert sum&gt;&gt;<\/strong>.
