1. Introduction
Welcome to FigsFlow. These Terms and Conditions ("Terms") govern your use of the FigsFlow website and software platform as made available to users in the United States (together, the "Service"), operated by FigsFlow, a company registered in England and Wales under company number 15655148, with its registered office at 809 Salisbury House, 29 Finsbury Circus, London, EC2M 7AQ, United Kingdom.
By accessing or using the Service, you agree to be bound by these Terms in their entirety. If you do not agree, you must discontinue use of the Service.
These Terms apply to all visitors, registered users, subscribers, and any other persons who access or use the Service ("Client", "you", or "your"). "FigsFlow", "we", "us", and "our" refer to FigsFlow. "Party" or "Parties" refers to the Client and FigsFlow, individually or together.
2. Definitions
FigsFlow — the company operating the Service, as described in Section 1.
Client / User — any individual or entity that registers for an Account, subscribes to a Plan, or otherwise accesses or uses the Service.
Service — the software-as-a-service platform provided by FigsFlow, including all features, tools, and content made available through the Website or associated applications.
Account — the account created by a User upon registration, providing access to the Service.
User-Generated Content — any text, comments, data, documents, or other material a User creates, uploads, or transmits through the Service.
Subscription / Billing Cycle / Plans — the recurring monthly or annual arrangement under which a Client pays a fee for continued access to the Service, at the pricing tier selected.
Pricing — the fees charged for each Subscription Plan, published in US Dollars (USD) on our Pricing page, exclusive of any applicable sales tax unless stated otherwise.
Free Trial — a complimentary 30-day period during which a User may evaluate the Service, subject to the limitations in Section 8.
Intellectual Property Rights — all patents, copyrights, trademarks, trade secrets, and other intellectual property rights of any kind, whether registered or unregistered.
3. Privacy and Cookies
Your use of the Service is also governed by our Privacy Policy and Cookies Policy, which are incorporated into these Terms by reference.
4. Intellectual Property and License
4.1 Unless otherwise stated, FigsFlow and/or its licensors own all intellectual property rights in the Service and all material published on it.
4.2 Except as expressly permitted by these Terms, you must not: republish, sell, rent, sub-license, or redistribute material from the Service; reproduce, copy, modify, or create derivative works from the Service or its content; decompile or reverse-engineer any software forming part of the Service; or use data mining, scraping, or similar tools on the Service.
4.3 Parts of the Service may allow you to post comments. FigsFlow does not pre-screen comments, and comments reflect the views of the person posting them, not FigsFlow. We reserve the right to remove any comment we consider inappropriate or in breach of these Terms.
4.4 By posting a comment, you warrant that you are entitled to post it, that it does not infringe any third-party right, and that it is not unlawful, defamatory, or used to solicit business. You grant FigsFlow a non-exclusive, worldwide, royalty-free license to use and reproduce your comment.
5. Hyperlinking to Our Content
5.1 Government agencies, search engines, news organizations, and online directories may link to the Service without prior approval, provided the link is not deceptive and does not falsely imply our endorsement.
5.2 We may, at our discretion, approve other link requests. Organizations seeking approval should email us with their name, site URL, and the pages they wish to link to, using the contact details in Section 24.
6. iFrames
You may not, without our prior written permission, frame our webpages in a way that alters their visual presentation.
7. Content Liability
We are not responsible for content on any third-party website that links to us. You agree to indemnify us against claims, losses, and costs arising from content on your website that links to the Service.
8. Subscription Plans, Pricing, and Free Trial
8.1 Current subscription plans and pricing for US customers, shown in USD, are published on our Pricing page. A subscription takes effect on successful completion of payment, processed through our third-party payment provider, Stripe. You will receive an email confirmation and an on-screen summary of your plan, invoice, and payment method.
8.2 Subscriptions renew automatically at the end of each billing cycle. Reminder emails are sent in advance of renewal. You may disable auto-renewal at any time in your account settings; your access continues until the end of the current billing period.
8.3 Upgrades during a billing cycle are charged on a pro-rata basis. Downgrades take effect at the start of the next billing cycle.
8.4 We provide a free 30-day trial to evaluate the Platform. All features are available during the trial except AML functionality. Once you convert to a paid plan, the Refund Policy in Section 9 applies.
9. Refund Policy
9.1 Monthly subscriptions. Monthly fees are charged in advance and are non-refundable once charged, as the Service becomes accessible immediately upon payment. You may cancel at any time; your access continues until the end of the current billing period.
9.2 Annual subscriptions. If you cancel within 14 days of your initial purchase and have not made material use of the Platform (for example, generating and sending documents to clients), you are entitled to a full refund. Notify us in writing before the 14-day period expires. After 14 days, annual fees are non-refundable, and you retain access for the remainder of the subscription period.
9.3 Automatic renewal disclosures. Where required by applicable state law, we provide clear disclosure of automatic renewal terms and a straightforward means of cancelling online.
9.4 Exceptional circumstances. We may consider refund requests outside the above terms on a case-by-case basis, including for documented platform outages or duplicate billing errors. Requests must be submitted in writing within 30 days of the charge.
9.5 To request a refund, email info@figsflow.com with your account email, the date of the charge, your plan, and the reason for your request. We aim to acknowledge requests within five business days.
9.6 Nothing in this Refund Policy limits any non-waivable right you have under applicable consumer protection law. Where this policy conflicts with such rights, your statutory rights prevail.
10. Service Availability
We use reasonable efforts to keep the Platform available at least 99.5% of the time each calendar month, excluding planned or emergency maintenance and factors outside our reasonable control, such as failures of third-party networks or infrastructure.
11. Data Protection and Privacy
11.1 We process personal information in accordance with applicable US privacy laws, including the CCPA/CPRA where applicable, as described in our Privacy Policy.
11.2 We implement appropriate technical and organizational security measures. No security system is entirely impenetrable, and you acknowledge that data transmission over the internet carries inherent risk.
11.3 You must ensure that any personal information of third parties (such as your clients or employees) that you input into FigsFlow is accurate and that you have the lawful basis and authority to do so. You are responsible for your own compliance with applicable data protection laws in relation to that data.
12. Use of Client Name, Brand Assets, and Marketing References
Part A: Permitted uses without explicit consent. Subject to Parts B and C, the Client grants FigsFlow a non-exclusive, royalty-free, revocable license to use the Client's name, trading name, and logo solely to: (a) include the Client in a factual customer list, in aggregate statistics, or in investor materials, without any quote or endorsement; and (b) for internal sales and product purposes. The Client may opt out at any time by emailing info@figsflow.com, and FigsFlow will remove the Client's name and logo from digital marketing materials within ten business days.
Part B: Uses requiring explicit consent. Case studies, testimonials, named quotes, paid advertising, press releases, or any use suggesting endorsement require the Client's separate, explicit, written consent, obtained through a standalone consent process that specifies the purpose, channels, and duration of use, and explains that consent may be withdrawn at any time without detriment. Where marketing content includes an individual's personal information, FigsFlow will obtain that individual's own consent directly, in accordance with applicable privacy law.
Part C: General. Withdrawal of consent will not affect the lawfulness of use before withdrawal. FigsFlow will cease new use within ten business days and make reasonable efforts to remove existing digital content within twenty business days, but is not required to recall printed materials or third-party publications produced before withdrawal. Nothing in this Section transfers ownership of the Client's brand assets to FigsFlow.
13. Acceptable Use Policy
13.1 You agree to use the Service only lawfully and in compliance with these Terms. You must not use the Service for any unlawful or fraudulent purpose, to transmit malware or harmful code, or in any way intended to harm any person.
13.2 You must not create, submit, or distribute User Content through the Service that: is obscene, hateful, or discriminatory; promotes unlawful activity or violence; is false or deceptive; infringes any person's privacy or intellectual property rights, including under the Digital Millennium Copyright Act; impersonates any person; or falsely implies endorsement by FigsFlow.
13.3 We reserve the right to remove or restrict access to any User Content that, in our reasonable opinion, violates this Section, without prior notice.
14. Viruses, Malware, and Security
14.1 We take reasonable measures to keep the Service secure, but we do not guarantee it will be entirely free of harmful components and accept no liability in this regard.
14.2 You must not deliberately introduce malware, attempt to gain unauthorized access to the Service or its infrastructure, or attack the Service by denial-of-service or similar means. Such conduct may constitute a criminal offense under the Computer Fraud and Abuse Act and other applicable law. We will report violations to law enforcement, cooperate with any investigation, and suspend or terminate the responsible account.
15. Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at the contact details in Section 24 if you become aware of any unauthorized use.
16. Limitation of Liability
16.1 Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by our negligence, or for fraud.
16.2 Subject to Section 16.1, we are not liable for indirect, incidental, special, or consequential loss or damage, loss of profit, revenue, business, or data, arising from your use of, or inability to use, the Service.
16.3 Subject to Section 16.1, our total aggregate liability arising under or in connection with these Terms will not exceed the total fees you paid to FigsFlow in the twelve months preceding the event giving rise to the claim.
17. Disclaimer
To the maximum extent permitted by applicable law, we exclude all warranties relating to the Service that are not expressly set out in these Terms. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, and do not guarantee the completeness or accuracy of information available through the Service.
18. Termination
18.1 You may terminate your account at any time by cancelling your subscription and ceasing to use the Service.
18.2 We may suspend or terminate your access immediately if you breach these Terms, if required by law, if we reasonably believe your account has been compromised, or if we discontinue the Service, in which case we will provide reasonable notice where practicable.
19. Removal of Links from Our Website
If you find a link on our website that is offensive or objectionable, you may contact us using the details in Section 24. We will consider requests to remove links but are under no obligation to do so.
20. Reservation of Rights
We reserve the right to request removal of any link to our website, and to amend these Terms and our linking policy at any time.
21. Governing Law and Jurisdiction
21.1 These Terms, and any dispute arising out of or in connection with them, are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles.
21.2 Subject to any non-waivable consumer protection rights available in your state of residence, the state and federal courts located in Delaware will have jurisdiction to resolve any dispute arising out of or in connection with these Terms.
22. Force Majeure
We are not liable for any failure or delay in performing our obligations under these Terms resulting from circumstances beyond our reasonable control, including natural disasters, pandemic, government action, power or internet failures, or cyber-attacks.
23. Changes to These Terms
We may amend these Terms at any time. Material changes will be notified by email or a prominent notice on the Service. Your continued use of the Service after changes are notified constitutes acceptance of the revised Terms.
